"Non-Reliance Use" means usage without dependency for critical operations.
The Platform is classified as:
A passive conduit
A neutral intermediary
A non-custodial system
At no time does WeTranzfer:
Obtain ownership of data
Exercise control over data
Assume custody obligations
WeTranzfer explicitly rejects any:
Duty of care
Fiduciary obligation
Monitoring obligation
Security guarantee obligation
The User acknowledges that the Platform operates without supervision responsibilities.
User accepts ALL risks including:
System failure
Data corruption
Unauthorized interception
Human error
Software bugs
Cyber incidents
INCLUDING FORESEEABLE AND UNFORESEEABLE RISKS.
To the maximum extent permitted by applicable law:
User irrevocably waives any right to claim damages based on:
Contract
Tort
Negligence
Strict liability
Statutory claims
INCLUDING GROSS NEGLIGENCE WHERE LEGALLY PERMISSIBLE.
WeTranzfer shall not be liable under ANY THEORY for:
Downtime
Server crashes
Network disruptions
Loss
Duplication
Corruption
Hacks
Data leaks
Unauthorized access
Lost revenue
Lost contracts
Operational delays
User agrees to defend, indemnify, and hold harmless against:
All direct claims
Indirect claims
Regulatory penalties
Government investigations
INCLUDING CROSS-BORDER CLAIMS.
User agrees:
The Platform shall NOT be used for:
Mission-critical systems
Backup storage
Compliance storage
WeTranzfer does not act as:
Data processor in practical control sense
Data custodian
Data archive provider
The Platform operates via automated systems.
We are NOT responsible for:
Algorithmic decisions
Routing errors
System logic failures
WeTranzfer is not liable for:
API misuse
Integration failures
Third-party code
Includes:
Cyber warfare
Infrastructure collapse
Government shutdowns
Cloud provider failures
We may:
Delete all data instantly
Terminate accounts without notice
WITHOUT LIABILITY.
Users waive rights to:
Class actions
Collective proceedings

Fallback: EU jurisdiction frameworks

System overload
High traffic failures
Scaling limitations
If the Platform is used via partners or resellers:

All liability remains with the direct contracting party

Integration vulnerabilities
User is solely responsible for determining:

Guarantee redundancy

Users are responsible for:

Ensuring compliance with applicable laws
Maintaining backups of their data
We aim to provide continuous access but cannot guarantee uninterrupted or error-free service.
To the extent permitted by law, WeTranzfer is not liable for:

Service interruptions

These B2B Terms apply to all business users, partners, resellers, and enterprise clients.
Client acknowledges:
WeTranzfer acts solely as a technology provider
Client retains full control over data and operations
The Client is solely responsible for:
Regulatory compliance
Data protection obligations
End-user agreements
In all B2B relationships:
Liability is excluded to the maximum extent permitted
Any potential liability is strictly limited
Client agrees to indemnify WeTranzfer against:
Customer claims
Regulatory actions
Third-party damages
Client agrees not to:
Use the Platform for critical infrastructure
Rely on the Platform for guaranteed delivery
WeTranzfer may terminate services at any time without liability.
By using the Platform, the Client confirms:
Full understanding of operational risks
Independent risk management
No reliance on WeTranzfer for compliance or security guarantees
This Data Processing Addendum (“DPA”) governs the processing of personal data by WeTranzfer acting as a technical service provider.

WeTranzfer = Technical Processor / Conduit
WeTranzfer does not determine purposes or means of processing.
